Ozlo Referral Program Terms & Conditions

The Ozlo Referral Program (the “Program”) operated by Drowsy Digital, Inc. dba Ozlo (“Ozlo”) allows existing customers of Ozlo to receive a Reward (as defined below) for referring new customers to Ozlo, subject to the terms and conditions herein.

These Program Terms & Conditions (these “Terms”) apply to the Program. Please read them carefully. By referring a friend to Ozlo pursuant to the Program, you will be deemed to have accepted and be bound by these Terms.  

  1. Eligibility Criteria

The Program is open only to individuals who have made a purchase from Ozlo’s website, have an active account through the Ozlo mobile app, who are residents of the 50 United States and the District of Columbia and who are 18 years of age or older (or the local age of majority in the jurisdiction where you reside, if higher than 18) at the time of participation. For the avoidance of doubt, only natural persons transacting in their personal capacity and for their own account are eligible to participate in the Program; third party aggregators, groups, organizations, and business entities are not eligible to participate in the Program or to earn or to use related rewards or benefits. 

The use of multiple accounts, email addresses, online identities or aliases to circumvent the eligibility requirements and/or other limitations of these Terms is prohibited and may result in exclusion from the Program and the cancellation of all related rights to a Reward .

Ozlo reserves the right to limit, suspend or terminate your ability to participate in the Program and/or your right to receive any Reward if Ozlo suspects that you (or any individual you refer to Ozlo) have used or attempted to use the Program in a fraudulent or abusive manner or in violation of these Terms or applicable law.

  1. Referring Friends:

For the purposes of the Program, a “Referred Friend” means an individual that:

(a) you refer to Ozlo using your unique referral link made available by Ozlo (the “Referral Link”); 

(b) makes a purchase of new Ozlo Sleepbuds (not applicable for refurbished or subscription pay Sleepbuds) from Ozlo’s website using the active Referral Link, as confirmed by Ozlo in accordance with its internal procedures, within 60 days (“Qualifying Purchase”) and such Qualifying Purchase is not returned to Ozlo, in full or part within 30 days; and

(c) has not previously made a purchase from Ozlo’s website or had an account with Ozlo.

For the avoidance of doubt, Qualifying Purchases shall not include the purchase of refurbished or subscription pay Sleepbuds. 

Referral Links may be deactivated at any time by Ozlo, including without limitation, any Referral Links distributed or shared through unauthorized channels or otherwise in violation of these Terms, if Ozlo notices any activity that it believes is abusive, fraudulent, in violation of applicable law, the Terms of Use (as defined below) or these Terms, or otherwise as Ozlo deems fair and appropriate. Referral Links are not transferrable (except in accordance with these Terms).  All Referral Links must be used within 60 days of issuance.

You may not share the Referral Link with content that Ozlo deems offensive or inappropriate in its sole discretion. Without limiting the foregoing, such content includes all forms of pornography, obscenity, indecent language and content that incites hate, is demeaning, disparages or damages the goodwill, reputation, or brand image of Ozlo, or incites or endorses discrimination in any form. 

Referral Links are personal to you. You are prohibited from “spamming” anyone with referral invitations. This includes mass emailing, texting or messaging people you do not know or do not have permission or consent to contact, or using automated systems or bots through any channel to distribute your Referral Link. You are prohibited from paying to advertise your Referral Link or paying or providing anything of value to any person to whom they direct a Referral Link or any other third party to obtain benefits under this Program. With the exception of public postings to any websites or blogs owned or controlled by you or your social media pages, the direct sharing of Referral Links outside of your warm network of personal connections is strictly prohibited and you must obtain the express consent of any party prior to sharing the Referral Link with them. When sharing a Referral Link, you must always tell referred individual that you will be receiving a Reward if referred individual makes a Qualifying Purchase. You must at all times remain compliant with all applicable laws. You agree to indemnify and hold harmless Ozlo and its affiliates from any and all damages, costs, claims, expenses and other liability (including reasonable attorneys’ fees) arising from or relating to the breach or alleged breach by you of this paragraph. 

  1. Discounts and Rewards.

Each Referred Friend shall receive $55 off their first Qualifying Purchase. A Referred Friend cannot combine this discount with other discounts or promotional offers. The discount can only be used for a Referred Friend’s first order of Ozlo Sleepbuds. Discounts can only be redeemed for orders placed through Ozlo’s website. Such discount is promotional in nature and cannot in any circumstances be redeemed or exchanged for gift cards, cash or any cash equivalent, except to the extent required by law. Discounts will not be replaced or reinstated if applied in a transaction that is later canceled for any reason or in the event of a return. 

Subject to compliance with these Terms and Ozlo’s Terms of Use (“Terms of Use”), when a Referred Friend makes a Qualifying Purchase, you will receive a $25 gift card of your choice through Ozlo’s third-party service provider, Impact (the “Reward”). The Reward will be provided to you through Tango, a direct integration through Impact. The Reward is subject to Impact’s Terms of Use. Referrers may earn only one (1) Reward per Referred Friend, regardless of the number of purchases that such Referred Friend makes.

Rewards are not transferable and, once issued to you, they cannot be redeemed by any other person. Rewards are promotional in nature and cannot in any circumstances be redeemed or exchanged for gift cards, cash or any cash equivalent, except to the extent required by law. Notwithstanding the foregoing, Ozlo reserves the right to substitute an Reward for an item of equal or greater value in the event an advertised Reward is unavailable. Rewards will not be issued, and Ozlo reserves the right to retroactively remove, revoke or void a Reward from your account, for any Qualifying Purchases that are cancelled in full or in the event of a return by Referred Friend of the Qualifying Purchase, in part or full.

Ozlo reserves the right, in its sole discretion, to revoke or void any Rewards which it deems, in its sole discretion, to be procured (a) in violation of these Terms, including without limitation, distribution through unauthorized channels or in violation of any applicable law, or (b) in association with content that Ozlo deems offensive or inappropriate in its sole discretion. 

A referred individual may only use one Referral Link. If a referred individual receives Referral Links from multiple Ozlo account holders, only the account holder associated with the Referral Link actually used by the referred individual to make the Qualifying Purchase from Ozlo’s website will receive the applicable Reward.

You are responsible for any tax consequences, if any, that may result from your redemption or use of the Rewards. 

  1. Warranties

You represent, warrant and covenant to Ozlo that: (a) you will not engage in the distribution of any bulk emails (spam) in any way mentioning or referencing Ozlo or any of its products or services and (b) you will obtain appropriate consent from individuals prior to sharing any Referral Links, and (c) you will comply with all applicable laws and these Terms in connection with your participation in the Program, including the sharing of Referral Links.

  1. Right to Cancel Program; Changes to Terms 

Ozlo reserves the right, at any time, with or without notice, in Ozlo’s sole discretion, to modify or terminate the Program and/or amend these Terms and to impose new or additional terms and conditions in relation to the Program. Changes will be effective as soon as they are published on Ozlo’s website. By continuing to participate in the Program after the posting of such changes, you shall be deemed to accept such changes. If Ozlo terminates the Program, all claims to a Reward will be revoked and forfeited at that time. 

  1. Dispute Resolution

PLEASE NOTE THAT THE TERMS OF USE CONTAIN PROVISIONS GOVERNING HOW DISPUTES BETWEEN OZLO AND YOU ARE RESOLVED. IN PARTICULAR, IT CONTAINS AN ARBITRATION AGREEMENT, WHICH WILL, WITH LIMITED EXCEPTIONS, REQUIRE DISPUTES BETWEEN OZLO AND YOU TO BE SUBMITTED TO BINDING AND FINAL ARBITRATION, UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT IN ACCORDANCE WITH THE TERMS FOUND IN THE TERMS OF USE. Any dispute between you and Ozlo in connection with the Program, these Terms, Rewards, or other benefits or discounts received in connection with the Program shall be subject to such Arbitration Agreement (see Section 13 of the Terms of Use ). 

  1. Severability

If any part of these Terms is found by a court of a competent jurisdiction to be invalid, unlawful or unenforceable then such part shall be severed from the remainder of these Terms, which shall continue to be valid and enforceable to the fullest extent permitted by law.

  1. Other

If you are dissatisfied with any aspect of the Program at any time, your sole and exclusive remedy is to cease participating in the Program.  All decisions of Ozlo regarding the interpretation of these Terms and any other aspects of the Program will be final and binding.

The Program shall not be construed to create any employment relationship, agency relationship or partnership between you and Ozlo. You shall have no authority to bind Ozlo or enter into any agreement on its behalf nor shall you be considered to be an agent of Ozlo in any respect.

Participants may not assign their rights or obligations under these Terms, in whole or in part, without the written consent of Ozlo. Any assignment or transfer in violation of the foregoing is void.
